This End User License Agreement (“Agreement”) is a legal agreement between you (“User”) and P&S Creative Lab Inc. (“P&S Lab”, “we”, “us”, or “our”), a corporation incorporated under the laws of Québec, Canada, governing your use of the OpenClaw automation agent and its integration with third-party services, including but not limited to QuickBooks Online and the Telegram messaging platform.
1. Acceptance of Terms
By authorizing, installing, configuring, or otherwise using the OpenClaw agent or granting it access to your accounts and services, you agree to be bound by this Agreement. If you do not agree to these terms, do not authorize or use the agent.
2. Description of the Software and Services
The OpenClaw agent is an AI-powered automation agent developed and operated by P&S Lab, running on local hardware (Raspberry Pi 4) within a private local area network. The agent is designed to: connect to and interact with QuickBooks Online for accounting automation tasks including reading financial records, creating transactions, generating reports, and managing accounting data; communicate with authorized users via the Telegram messaging platform; and execute automated workflows and tasks on behalf of the User as instructed.
3. License Grant
Subject to the terms of this Agreement, P&S Lab grants the User a limited, non-exclusive, non-transferable, revocable license to use the OpenClaw agent solely for the User’s internal business or personal purposes. This license does not include the right to sublicense, distribute, or resell the agent or its functionality.
4. QuickBooks Integration and Data Access
By connecting the OpenClaw agent to your QuickBooks Online account, you explicitly authorize P&S Lab and the agent to access your QuickBooks data as permitted by the OAuth scopes you grant during the connection process. This may include reading financial data, invoices, transactions, and reports; creating, modifying, or deleting accounting entries as directed by the User; and accessing company profile and settings information.
P&S Lab acknowledges that QuickBooks data is sensitive financial information. The agent will only access QuickBooks data as required to perform authorized tasks. No financial data will be shared with third parties outside of the necessary integrations described in this Agreement. You are responsible for reviewing and approving any significant financial actions before they are executed. P&S Lab is not responsible for any errors, financial losses, or discrepancies resulting from automated actions performed at the User’s direction.
5. Telegram Communication
The OpenClaw agent uses Telegram as its primary communication interface. By using this feature, you acknowledge that messages sent through Telegram are subject to Telegram’s own Terms of Service and Privacy Policy; P&S Lab is not responsible for the security, availability, or conduct of the Telegram platform; the User is responsible for securing their Telegram account and ensuring that only authorized individuals have access to the bot conversation; and sensitive financial summaries or accounting data may be transmitted through Telegram at the User’s explicit request.
6. User Responsibilities
The User agrees to use the OpenClaw agent only for lawful purposes and in compliance with all applicable laws and regulations; maintain the security of their QuickBooks credentials, Telegram account, and local network infrastructure; review and verify all automated actions, particularly those involving financial transactions; promptly notify P&S Lab of any unauthorized access or suspected security breach; and not use the agent to circumvent any legal or regulatory obligations related to financial reporting or accounting.
7. Intellectual Property
The OpenClaw agent, including all underlying software, algorithms, configurations, and related documentation, is the intellectual property of P&S Creative Lab Inc. and is protected by applicable copyright and intellectual property laws. This Agreement does not transfer any ownership rights to the User.
8. Privacy
The collection, use, and storage of personal data in connection with the OpenClaw agent is governed by our Privacy Policy, which is incorporated herein by reference. By using the agent, you consent to the data practices described in the Privacy Policy.
9. Disclaimer of Warranties
THE OPENCLAW AGENT AND ALL RELATED SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, OR NON-INFRINGEMENT. P&S LAB DOES NOT WARRANT THAT THE AGENT WILL OPERATE ERROR-FREE, UNINTERRUPTED, OR THAT ALL DEFECTS WILL BE CORRECTED.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, P&S CREATIVE LAB INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE OPENCLAW AGENT, INCLUDING BUT NOT LIMITED TO FINANCIAL LOSSES, DATA LOSS, OR BUSINESS INTERRUPTION. P&S Lab’s total liability under this Agreement shall not exceed the amount paid by the User for the services in the twelve (12) months preceding the claim, or CAD $100, whichever is greater.
11. Termination
This Agreement is effective until terminated. The User may terminate this Agreement at any time by revoking the agent’s access to QuickBooks Online and ceasing all use of the agent. P&S Lab may terminate this Agreement immediately upon notice if the User breaches any term. Upon termination, all licenses granted herein shall cease immediately.
12. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the Province of Québec and the federal laws of Canada applicable therein. Any disputes arising under this Agreement shall be subject to the exclusive jurisdiction of the courts of Québec, Canada.
13. Changes to This Agreement
P&S Lab reserves the right to modify this Agreement at any time. Material changes will be communicated via the Telegram interface or by updating this page. Continued use of the OpenClaw agent after changes are posted constitutes acceptance of the revised Agreement.
